Terms of Service

Welcome to Healthy Spirit Guide. These Terms of Service ("Terms") are a legally binding agreement between you and Healthy Spirit Guide LLC, a limited liability company organized under the laws of the State of Oklahoma ("Healthy Spirit Guide," "HSG," "we," "us," or "our"), governing your access to and use of the website located at healthyspiritguide.com, together with all content, features, tools, memberships, and services offered through it (collectively, the "Service").

Please read these Terms carefully. By creating an account, checking the acceptance box at signup, signing in through a third-party identity provider such as Google or Apple, redeeming a gift code, purchasing a membership, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Service.

1. Overview of the Service

Healthy Spirit Guide is an interfaith spiritual wellness membership platform. The Service offers a combination of features that may include, among others: prayers, guided meditations, original sermons and songs, stories and scriptures drawn from many spiritual traditions, historical-figure storybooks, brain games, health and habit trackers (such as mood, sleep, weight, and calorie tracking), a diet catalog with cookbooks and recipes, gratitude and memorial journals, organizational tools, a personal content library, private and group reflection spaces, community discussion features, and AI-powered conversation and reflection companions.

The Service is designed for personal inspiration, reflection, education, and general wellness support. It is not a medical, mental-health, or professional advisory service, and it is not a substitute for your faith community, your doctor, your therapist, your family, or your own judgment. Sections 10, 11, and 12 of these Terms describe these limitations in detail, and they are an essential part of this agreement.

2. Eligibility

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. We may suspend or terminate any account that we reasonably believe belongs to a person under 18.

The Service is operated from the United States. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

3. Acceptance and Changes to These Terms

Your acceptance of these Terms occurs when you create an account (including via a checkbox at signup or by signing in through a third-party provider such as Google), and again each time you access or use the Service. We record the date and time of your acceptance.

We may update these Terms from time to time. When we make material changes, we will provide notice by email to the address associated with your account, by an in-app notice, or both, and we will update the "Last Updated" date above. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your membership as described in Section 6. Dated prior versions of these Terms are archived and available on request.

4. Accounts and Security

One account per person. Each account is personal to you. You may not share, sell, rent, or transfer your account or login credentials, and you may not access the Service through another person's account.

Sign-in methods. You may register using an email address and password or through supported third-party identity providers. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at email@healthyspiritguide.com if you suspect unauthorized access to your account.

Accurate information. You agree to provide accurate account information and to keep your email address current, since it is our primary channel for billing notices, service notices, and legal notices.

Display names and avatars. Community-facing display names and profile images must comply with our Community Rules (Section 13). Display names are subject to automated and manual review, and we reserve the right to reset or remove any display name or avatar that violates these Terms or the Community Rules.

Anti-abuse measures. We employ security and anti-abuse measures, which may include CAPTCHA challenges, login attempt limits, temporary lockouts, rate limits, and similar protections. You agree not to circumvent or interfere with these measures.

5. Memberships, Billing, and Founding Member Pricing

5.1 Paid membership. Full access to the Service requires a paid membership. Membership plans, prices, and billing intervals (such as monthly and annual) are those displayed at the time of purchase. Unless otherwise stated at purchase, all prices are in U.S. dollars.

5.2 Automatic renewal. Memberships renew automatically. Your membership will automatically renew at the end of each billing period, and your payment method will be charged the then-applicable rate for your plan, until you cancel. By purchasing a membership, you authorize these recurring charges.

5.3 Payment processing. All payments — including subscriptions, gift purchases, and voluntary contributions — are processed by Stripe, a third-party payment processor. We do not collect or store your full payment card details. Your payments are also subject to Stripe's own terms and privacy policy. Billing dates, renewal dates, and the authoritative record of your subscription period are governed by the records maintained through our payment processor.

5.4 Founding Member pricing. From time to time we may offer promotional "Founding Member" (or similar) pricing described as "locked in until you cancel." Where such pricing applies to your membership, the promotional rate remains in effect only while your subscription remains continuously active without interruption. If your subscription is cancelled by you, lapses, or is terminated for non-payment (after any applicable payment retry period), the price lock ends. Any later subscription is a new subscription at then-current standard pricing; promotional rates are not restored. Promotional and strikethrough prices displayed to new customers are limited-time offers and may change or end at any time.

5.5 Price changes. We may change standard membership pricing. For subscribers who are not on locked promotional pricing, we will provide at least thirty (30) days' advance notice of a price increase by email before it applies to your next renewal. If you do not agree to a price change, you may cancel before it takes effect.

5.6 Failed payments. If a renewal payment fails, our payment processor may retry the charge over a limited period. If payment ultimately cannot be collected, your membership and access to paid features may be suspended or cancelled. A cancellation caused by payment failure ends any promotional price lock as described in Section 5.4.

5.7 Taxes. Prices may be exclusive of applicable sales or similar taxes, which will be added where required by law.

5.8 Future features. An active membership includes access to the member features of the Service as they exist from time to time, including newly released member features at no additional charge. However, as described in Section 17, we do not guarantee that any specific feature will exist or remain unchanged indefinitely, and we may offer distinct products or services outside the membership in the future.

6. Cancellation

You may cancel your membership at any time — no lock-in contract, no questions asked. Cancellation is self-serve through the "Manage Subscription & Billing" option in your account, which opens our payment processor's secure billing portal, where you can also update your payment method, view invoices, or change plans.

When you cancel, your membership does not renew, and your access continues through the end of the billing period you have already paid for, after which it ends. Cancellation stops future charges; it does not, by itself, entitle you to a refund of charges already made (see Section 7). "Cancel anytime" refers to your ability to stop future billing at any time and is not a refund guarantee.

7. Refunds, Chargebacks, and Disputes

7.1 Refund policy. Except where required by law, all payments are final, and refunds are issued at our sole discretion on a case-by-case basis. If you believe a charge was made in error or you have experienced a problem with the Service, contact us at email@healthyspiritguide.com and we will work with you in good faith. Discretionary refunds, account credits, complimentary time, or other goodwill accommodations that we may choose to provide in individual cases are a courtesy, not an entitlement, and do not create an obligation to provide the same accommodation again or to others.

7.2 Effect of refunds and disputed payments. If a payment is refunded, reversed, or becomes the subject of a chargeback or payment dispute, we may immediately revoke the access and benefits associated with that payment. This includes revoking membership time and revoking or invalidating any gift codes or gifted membership time issued from the refunded or disputed purchase, whether or not already redeemed.

7.3 Chargeback abuse. Initiating a payment dispute for a legitimately delivered service, rather than contacting us first, may result in suspension or termination of your account. We encourage you to contact support before disputing a charge — most billing issues can be resolved quickly and directly.

8. Gift Memberships and Gift Codes

8.1 What gifts are. Members may purchase gift memberships (for example, in 1-month, 6-month, or 12-month durations) through the Gift Shop. Each gift purchase is a one-time payment that generates a unique gift code. Gift memberships are not recurring subscriptions: redeeming a gift code grants the recipient a fixed period of member access, does not enroll the recipient in automatic billing, and expires automatically at the end of the gifted period unless the recipient chooses to begin a paid membership.

8.2 Redemption. Gift codes are redeemed on the Service and require the recipient to create (or hold) an account. If the recipient already has active member access, redeemed gift time is added to the end of their existing access period. Each gift code is single-use: once redeemed, it is spent and cannot be reused, transferred, or re-gifted.

8.3 Redemption window. Unless otherwise stated at purchase or required by applicable law, gift codes must be redeemed within one (1) year of issuance, after which they expire unredeemed.

8.4 No cash value. Gift codes have no cash value, cannot be redeemed for cash (except where required by law), cannot be resold, and are non-refundable except at our discretion under Section 7.

8.5 Complimentary codes. We may from time to time issue complimentary access codes (for example, to friends, family, testers, or promotional recipients). Complimentary access is a courtesy provided at our discretion; it functions like a gift code, carries no guarantee of renewal or continuation, and may be limited or revoked for abuse.

8.6 Revocation. As described in Section 7.2, gift codes and gifted access derived from refunded, disputed, or fraudulent purchases may be revoked.

9. Promotional and Discount Codes

We may offer promotional or discount codes that apply a discount to paid subscriptions at checkout. Promotional codes are distinct from gift codes. Promotional offers are limited-time; may be restricted to specific plans, prices, regions, or new customers; may exclude subscribers on existing promotional pricing; are subject to the conditions presented at the time of the offer; have no cash value; are non-transferable; and may be modified or discontinued at any time. Only one promotional code may apply to a purchase unless we state otherwise.

10. Health and Wellness Disclaimer

The Service includes wellness-oriented content and tools such as calorie, weight, sleep, and mood trackers; dietary information, cookbooks, and recipes; breathing exercises; guided meditations; and brain games. This is an essential section — please read it carefully.

Not medical advice. All health, nutrition, fitness, and wellness content and tools on the Service are provided for general informational and self-reflection purposes only. They do not constitute medical advice, diagnosis, or treatment, and they are not a substitute for professional medical care. Always consult a qualified physician or other healthcare provider before beginning or changing any diet, exercise, fasting, supplement, or wellness practice — especially if you are pregnant or nursing, have an existing medical or mental-health condition, take medication, or have a history of disordered eating.

Self-reported tracking data. Tracker data (such as weight, calories, mood, and sleep) is entered by you, is intended for your personal awareness and reflection, and is not clinically validated. We make no guarantee of its accuracy or fitness for any medical purpose, and it should not be used for diagnosis or treatment decisions.

Recipes and nutrition. Nutritional figures in recipes and the diet catalog are approximate. You are solely responsible for identifying and avoiding ingredients to which you are allergic or intolerant and for verifying that any recipe or dietary approach is appropriate for you.

Meditation and breathing practices. Stop any meditation, breathing, or relaxation exercise if you feel unwell, dizzy, or distressed. These practices are complements to — never substitutes for — professional treatment. While research suggests meditation can support wellbeing, we make no guarantee of any physical or therapeutic benefit, and in rare cases people with certain mental-health conditions have reported worsened symptoms in connection with intensive meditation practice. If you have an existing mental-health condition, speak with your healthcare provider before beginning a meditation practice. To the extent you participate in any breathing, movement, or physical practice offered through the Service, you represent that you are in adequate health to do so and assume the risks of participation.

Never disregard professional medical advice, or delay seeking it, because of something you read, tracked, or experienced on the Service. If you think you may have a medical emergency, call your doctor or emergency services immediately.

11. AI Features Disclaimer

The Service includes AI-powered features, which may include a conversational companion (the "Spirit Guide"), AI-assisted reflection sessions, dream-interpretation tools, and AI-generated summaries of community discussions (collectively, "AI Features"). AI Features are powered in part by third-party artificial intelligence providers and incorporate technical safeguards, but no safeguard is perfect. This is an essential section — please read it carefully.

Automated output. Responses from AI Features are generated by automated systems. Despite our safeguards and those of our AI providers, AI output may occasionally be inaccurate, incomplete, outdated, or otherwise imperfect. AI Features are offered for reflection, inspiration, education, and enjoyment. You should apply your own judgment to anything an AI Feature tells you and should not rely on AI output as a sole source of factual, health, legal, financial, or spiritual guidance.

No professional relationship. AI Features do not provide medical, psychological, psychiatric, legal, financial, or professional religious advice. No physician–patient, therapist–client, attorney–client, or clergy–congregant relationship is created by your use of any AI Feature. The Spirit Guide is a supportive companion for reflection — it is not, and is not intended to replace, your faith, your doctor, your therapist, your family, or your own judgment.

Not a crisis service. AI Features are not a crisis, emergency, or suicide-prevention service and are not monitored in real time by humans. If you are in crisis or thinking about harming yourself or others, do not use the Service to seek help — call or text 988 (the Suicide & Crisis Lifeline in the U.S.), call 911 or your local emergency number, or contact a qualified crisis resource in your country immediately.

Usage limits. AI Features are subject to usage and message limits, which help keep the Service sustainable and safe. Limits may vary by feature and may change over time. Attempting to circumvent, exploit, or automate AI Features — including attempts to manipulate the AI through injected instructions — is prohibited and may result in suspension or termination.

Review and safety. AI conversations may be processed by our third-party AI providers to generate responses and may be reviewed as described in our Privacy Policy for safety, abuse-prevention, and quality purposes. We reserve the right to notify appropriate authorities or emergency services if we believe, in our sole discretion, that a user poses an imminent threat of harm to themselves or others.

12. Spiritual and Religious Content

The Service hosts interfaith content spanning many traditions — including Christianity, Islam, Hinduism, Buddhism, Judaism, Sikhism, Taoism, Jainism, Shinto, and the Bahá'í Faith — such as scriptures, prayers, original sermons and songs, canonical stories, summaries, and historical-figure storybooks.

This content is offered in a spirit of respect, for education, reflection, and inspiration across traditions. It does not constitute religious authority, pastoral counseling, doctrinal instruction, or an endorsement of any single tradition, and no adaptation is intended as disrespect toward any faith. Our retellings, summaries, and adaptations are interpretive works; for doctrinal questions, please consult primary texts and your own faith leaders. We reserve the right to curate, edit, and present spiritual content respectfully and at our discretion.

13. User Content and Community

13.1 What "User Content" means. "User Content" is anything you submit to the Service, including Collective Wisdom responses and votes, replies and reactions, display names, avatars and uploaded images, private and group reflections, journal entries, tracker entries, messages to AI Features, and messages sent through our contact form.

13.2 Your ownership; our license. You retain ownership of your User Content. So that we can operate the Service, you grant Healthy Spirit Guide LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process your User Content, including: (a) displaying content you post in community areas to other members; (b) incorporating community responses into AI-generated summaries and recaps (such as weekly Collective Wisdom summaries); and (c) processing content through our service providers (including AI providers) as needed to deliver the features you use. This license is limited to operating, providing, improving, securing, and promoting the community features of the Service, and it ends when your content is deleted from the Service, except to the extent content has already been incorporated into community summaries or is retained as described in our Privacy Policy.

13.3 Community Rules. Community areas are governed by our Community Rules, which are presented in the Service and incorporated into these Terms by reference. Without limiting those rules, you may not post content that is harassing, hateful, sexually explicit, violent, or threatening; that spams, advertises, or solicits; that impersonates another person or Healthy Spirit Guide staff; that discloses another person's private information; that spreads dangerous health misinformation; or that attacks or demeans other members' faiths or traditions.

13.4 Moderation. We provide reporting and hiding tools, and we may (but are not obligated to) review, hide, remove, or restrict any User Content or account at our discretion to enforce these Terms and the Community Rules, comply with law, or protect members. Moderation decisions are made in good faith and are final. You may contact support if you believe a decision was made in error.

13.5 Private and group reflections. Content shared in a group reflection is visible to the members of that group. Please be thoughtful about what you share, and do not share other members' reflections or personal information outside the Service. We access private reflection content only in the limited circumstances described in our Privacy Policy (for example, support, safety, and legal compliance).

13.6 Feedback. If you send us suggestions or feedback about the Service, we may use them without restriction or compensation.

14. Intellectual Property and Your License to Use the Service

14.1 Our content. The Service and its content — including original interfaith sermons, songs and musical recordings, guided meditations, retellings and summaries of traditional stories, the historical-figure storybook series, cookbooks and dietary libraries, illustrations and character artwork (including the spirit guide characters), site design, software, and the Healthy Spirit Guide name, logo, and branding — are owned by or licensed to Healthy Spirit Guide LLC and are protected by copyright, trademark, and other intellectual-property laws. Underlying scriptures and historical texts in the public domain remain in the public domain; our claim extends to our original expression, retellings, summaries, arrangements, recordings, and compilations. Portions of the Service's content and media are created or produced with the assistance of artificial-intelligence tools under licenses that permit their commercial use on the Service.

14.2 Your license. Subject to these Terms and your active membership or other authorized access, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service and its content for your personal, non-commercial use only.

14.3 Restrictions. Except as expressly permitted, you may not copy, reproduce, distribute, publicly perform, publicly display, publish, resell, or create derivative works from any part of the Service or its content; download, rip, scrape, or bulk-extract content (including audio, text, or images); use any content from the Service to train, fine-tune, or build datasets for machine-learning or AI systems; remove or alter copyright or attribution notices; or frame or mirror any portion of the Service.

15. Acceptable Use

In addition to the restrictions elsewhere in these Terms, you agree not to:

  1. probe, scan, test, or attempt to breach the security of the Service, including attempts to bypass access controls, exploit vulnerabilities, inject scripts or code, or access data belonging to other users;
  2. circumvent, disable, or interfere with usage limits, rate limits, message limits, CAPTCHA, or other technical protections;
  3. use bots, scripts, scrapers, or other automated means to access the Service, create accounts, or extract content;
  4. resell, sublicense, or commercially exploit access to the Service, or use demo or preview experiences to extract member content;
  5. impersonate Healthy Spirit Guide staff or any other person, or misrepresent your affiliation;
  6. upload viruses, malware, or other harmful code, or otherwise interfere with the proper functioning of the Service;
  7. use the Service for any unlawful purpose or in violation of any applicable law; or
  8. assist or encourage anyone else to do any of the above.

We may investigate suspected violations and may suspend or terminate accounts involved in violations, with or without notice in serious cases, and may cooperate with law enforcement where appropriate.

16. Account Deletion, Reactivation, and Termination

16.1 Deleting your account. You may request deletion of your account at any time from your account page. When you request deletion: (a) any active paid subscription is immediately cancelled, stopping future billing; and (b) your account enters a 30-day pending-deletion period.

16.2 The 30-day recovery window. During the 30-day pending-deletion period, you may reactivate your account simply by logging back in. Reactivation restores your account and your data. However, reactivation does not restore your prior paid subscription — the cancelled subscription cannot be resumed, so to regain paid member access you must start a new subscription at then-current pricing (see Section 5.4 regarding promotional price locks).

16.3 Permanent deletion. If you do not reactivate within 30 days, your account and personal data are permanently and irreversibly deleted in accordance with our Privacy Policy. After permanent deletion, your account, content, and data cannot be recovered.

16.4 Records we retain. Financial and payment records associated with past transactions are retained after account deletion, in de-identified or disassociated form where feasible, for legitimate legal, tax, accounting, and fraud-prevention purposes, as described in our Privacy Policy.

16.5 Our termination rights. We may suspend or terminate your account and access to the Service if you materially breach these Terms or the Community Rules, fail to pay amounts owed, engage in fraud or abuse, or where required by law. For serious violations, suspension or termination may be immediate and without notice. If we terminate your paid membership without cause and not due to your breach, we will refund the prorated unused portion of your prepaid period.

16.6 Survival. Sections concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive, survive cancellation, deletion, or termination.

17. Service Changes and Availability

The Service evolves. We may add, modify, or remove features, content, and tools at any time. Active members receive access to member features as they exist from time to time — including newly released member features — but we do not promise that any particular feature, content item, or third-party integration will remain available indefinitely or in unchanged form.

We strive for reliable service but do not guarantee that the Service will be uninterrupted, error-free, or always available. The Service depends on third-party infrastructure (including hosting, database, content-delivery, payment, AI, and email providers), and maintenance, outages, or third-party failures may cause interruptions. Except as required by law or expressly stated in these Terms, we do not provide refunds, credits, or other compensation for Service interruptions, downtime, scheduled or emergency maintenance, or the modification or discontinuation of any feature, whether caused by us, by third-party providers, or by events beyond our reasonable control. Features identified as beta, demo, preview, or "coming soon" are provided as-is and may change or be withdrawn without notice.

18. Third-Party Services

Your use of the Service involves third-party services, which may include payment processing (Stripe), sign-in providers (such as Google and Apple), abuse-prevention services (such as hCaptcha), artificial-intelligence providers, and infrastructure providers for hosting, database, storage, content delivery, and email. Your information is handled by these providers under their own terms and privacy policies to the extent they process it, and we are not responsible for the acts or omissions of third-party services. Links from the Service to external websites or resources are provided for convenience and do not constitute endorsement.

19. Copyright Complaints (DMCA)

We respect intellectual-property rights and expect users to do the same. It is our policy to remove infringing material and, in appropriate circumstances, to terminate the accounts of repeat infringers. If you believe that material available on the Service infringes your copyright, you may send a notification under the Digital Millennium Copyright Act to our designated agent containing: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and its location on the Service; (4) your address, telephone number, and email address; (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

20. Electronic Communications

By using the Service, you consent to receive communications from us electronically — including by email to your account address and by notices posted within the Service — and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Transactional and service emails (such as billing notices, receipts, security notices, and changes to these Terms) are part of operating the Service and are sent to all account holders; marketing emails, if any, include an unsubscribe option. You are responsible for keeping your account email address current, and a notice is deemed given when sent to the email address on your account.

21. Privacy

Our collection, use, protection, and retention of your personal information — including account data, health-tracking entries, reflections, AI conversations, and community activity — are described in our Privacy Policy. We employ technical and organizational safeguards designed to protect member data, including database-level access controls that restrict each member's data to that member. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security. By using the Service you acknowledge the Privacy Policy.

22. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, FEATURES, AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY REGARDING: (A) THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY HEALTH, WELLNESS, DIETARY, OR SPIRITUAL CONTENT (SEE SECTIONS 10 AND 12); (B) THE OUTPUT OF ANY AI FEATURE (SEE SECTION 11); OR (C) ANY RESULTS YOU MAY OBTAIN FROM USING THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

23. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL HEALTHY SPIRIT GUIDE LLC, ITS OWNER, OR ITS SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) FIFTY U.S. DOLLARS ($50).

WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE THAT THE HEALTH AND WELLNESS DISCLAIMER (SECTION 10), THE AI FEATURES DISCLAIMER (SECTION 11), AND THE SPIRITUAL CONTENT PROVISIONS (SECTION 12) ARE MATERIAL TERMS OF THIS AGREEMENT, AND THAT WE WOULD NOT PROVIDE THE SERVICE AT ITS CURRENT PRICING WITHOUT THEM. YOUR RELIANCE ON ANY CONTENT, TRACKER, OR AI OUTPUT FROM THE SERVICE IS AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW. EACH PROVISION OF THESE TERMS THAT PROVIDES FOR AN ASSUMPTION OF RISK, DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, OR EXCLUSION OF DAMAGES ALLOCATES THE RISKS BETWEEN THE PARTIES, IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US, IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS, AND APPLIES EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

24. Indemnification

You agree to defend, indemnify, and hold harmless Healthy Spirit Guide LLC and its owner, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your breach of these Terms or the Community Rules; (c) your violation of any law or the rights of any third party; or (d) your misuse of the Service.

25. Governing Law and Dispute Resolution

25.1 Informal resolution first. Most concerns can be resolved quickly and amicably. Before initiating any formal proceeding, you agree to contact us at email@healthyspiritguide.com (or through the Service's contact form) with a description of your concern and give us thirty (30) days to work with you toward a resolution.

25.2 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules.

25.3 Arbitration and class-action waiver. Any dispute that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property infringement or unauthorized access to the Service. You and Healthy Spirit Guide LLC each waive the right to a jury trial and the right to participate in a class action, class arbitration, or other representative proceeding. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement, which survives the termination of these Terms and your relationship with us. The arbitrator has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement, and may award the same individual relief a court could. The arbitration will be conducted in the English language; if an in-person hearing is required, it will take place in Oklahoma County, Oklahoma, unless the parties agree otherwise or the arbitrator determines a different location is required for the arbitration to be enforceable. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court under Section 25.4 rather than in arbitration.

Opt-out. You may opt out of this arbitration agreement by emailing email@healthyspiritguide.com within thirty (30) days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your account email address. Opting out of arbitration does not affect any other provision of these Terms.

25.4 Venue for non-arbitrable claims. For any claim not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Oklahoma County, Oklahoma.

25.5 Time limit. To the extent permitted by law, any claim arising out of or relating to the Service must be brought within one (1) year after the claim arises, or it is permanently barred.

26. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, the Community Rules, and any terms presented at purchase or redemption, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.

Severability. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms or your account. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Notices. We may provide notices to you by email to your account address or by notice within the Service. You are responsible for keeping your account email address current. Formal legal notices to us should be sent to the contact address in Section 27.

Headings. Section headings are for convenience only and do not affect interpretation.
